1. B2B Scope & Account Eligibility
This document constitutes a binding digital contract between Inovity India Paytech Private Limited (CIN: U67100BR2022PTC059239) and the enterprise entity executing integrations via our unified portal ("Client", "Merchant", "You").
Inovity India operates exclusively as a B2B (Business-to-Business) developer infrastructure utility. We do not provide consumer-facing platforms. By signing up, provisioning production environment tokens, or calling our sandbox API configurations, you explicitly warrant that you possess valid commercial incorporation credentials, a current active Goods and Services Tax (GST) registration number within India, or an equivalent corporate operational license.
2. API License Grants & Operational Restrictions
Subject to continuous compliance with financial metrics, Inovity India grants your engineering workspace a limited, revocable, non-exclusive, non-transferable, and highly conditional operational token license to query our endpoints.
Strict Platform Constraints:
- No Caching or Storing: You are strictly prohibited from compiling, caching, scraping, or maintaining local persistent database images of raw datasets returned via PAN, RC, E-Challan, CIBIL, or Experian verification endpoints.
- Rate Limiting Manipulation: Any deliberate bypass of defensive rate-limiting architectures, stress-testing production channels, or flooding requests into upstream nodes without written staging authorization will trigger defensive firewalls.
- No Reverse Engineering: You may not dissect, decompile, or reconstruct the underlying security handshake mechanisms, wrapper protocols, or verification routing parameters used by Inovity India.
3. End-User Consent & Statutory DPDP Compliance
Because our microfinance, credit bureau, and registry connection endpoints query legal records, the Client explicitly acknowledges their operational designation as a Data Fiduciary under India's Digital Personal Data Protection Act (DPDPA). Inovity India operates solely as a downstream Data Processor.
You hereby warrant, verify, and covenant that no single verification endpoint execution (including PAN checking, vehicle RC registry loops, or TransUnion CIBIL/Experian credit profile parses) will be initiated without acquiring the specific, explicit, clear, unambiguous, and trackable consent of the end-user (Data Principal).
Inovity India reserves the unconditional right to request electronic log samples proving clear consent trails for specific endpoint hits. Failure to deliver authentic verification authorization stamps within 72 hours of an advisory notice represents a severe breach of contract, resulting in immediate programmatic suspension.
4. Fees, Wallet Transactions, & Settlements
All transactions within the platform function on an upfront prepaid billing profile or an explicitly pre-negotiated monthly utility volume setup:
Prepaid Top-Ups & Wallets
Wallet top-up allocations are explicitly non-refundable. Balances reflect transactional credits usable purely across enabled microfinance verification endpoints and are not redeemable for physical cash equivalent payouts.
Statutory Taxation
All posted query prices exclude applicable Indian statutory duties. A standard 18% Integrated Goods and Services Tax (IGST) or Central/State GST equivalent will be computed over baseline values during invoice creation cycles.
5. Service Level Agreement Dependencies
Inovity India strives to maintain a consistent 99.9% Core API Gateway uptime layer. However, our verification systems rely entirely on real-time handshakes with external regulatory registries, including NSDL, UTIITL, the central VAHAN database, and integrated credit bureau servers.
Any processing delays, structural formatting changes, systemic query timeouts, or operational blackouts originating inside government nodes or primary registry sources represent an absolute **Force Majeure** event. Inovity India cannot be held financially liable for performance degradation caused by upstream partner infrastructure stability cycles.
6. Limitation of Liability & Comprehensive Indemnity
Inovity India, alongside its directors, developers, and corporate parent configurations, provides verification components on an "as-is" and "as-available" informational basis.
Under zero scenario models shall our aggregate financial liability across any contractual breach calculation exceed the active service charge fee volumes processed by your corporate account over the immediately preceding 30-day timeline.
Indemnification Mandate: The Client explicitly agrees to defend, indemnify, and hold harmless Inovity India against any direct regulatory enforcement actions, legal filings, financial penalties, or civil lawsuits arising from your failure to capture explicit user data verification consent, or intentional bypass of processing compliance frameworks.
7. Governing Law & Dispute Resolution
This business platform agreement is designed, executed, and interpreted under the sovereign framework of the Republic of India. For any commercial mediation requirements, operational arbitration disputes, or legal enforcement proceedings, both parties explicitly agree to file exclusively under the territorial jurisdiction of the authorized local courts in Muzaffarpur, Bihar, India.
